In plain language

  • Use Hisab to run your shop lawfully and honestly - don’t abuse, resell or reverse-engineer it.
  • Your business data belongs to you. Export it any time; we never sell it or use it as our own.
  • Starter is free forever. Paid plans renew until you cancel and are priced in Ethiopian Birr.
  • We work hard to keep Hisab running and secure, but no software is flawless or always online.
  • Our liability is limited - you’re responsible for your own business decisions and records.
  • These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia.

Agreement to these Terms

These Terms of Service (the “Terms”) form a binding agreement between you and Ado Systems regarding your access to and use of Hisab - our point-of-sale, inventory, invoicing, accounting and online-storefront platform, together with our websites, mobile applications, and related services (collectively, the “Service”).

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using Hisab on behalf of a business, you represent that you are authorised to bind that business, and “you” means both you and that business.

If you do not agree to these Terms, you must not use the Service.

Who we are

Hisab is built and operated by Ado Systems (“Hisab”, “we”, “us”, “our”), based in Addis Ababa, Ethiopia. We provide software that helps Ethiopian retailers, wholesalers, importers and service businesses sell, track stock, invoice customers, keep their books and reach buyers online.

You can reach us at any time at hisab@adosystems.com. Notices we are required to give you under these Terms may be sent to the email address on your account or posted within the Service.

Definitions

To keep the rest of this document short, a few words have specific meanings:

AccountThe login that identifies you as a user of the Service.
Business / ShopA workspace within Hisab that holds one organisation’s products, sales, customers and books. You may belong to more than one.
Business DataEverything you and your staff put into a Business - products, prices, sales, customers, suppliers, invoices, expenses, ledgers, settings and uploaded files.
OwnerThe person who creates a Business or to whom it is transferred. The Owner controls who else may access it and at what level.
Staff / MemberA user the Owner invites into a Business, with a role and permissions the Owner assigns.
PlanThe subscription tier (for example Starter or Growth) that determines which features and limits apply to a Business.

Eligibility & your account

To use Hisab you must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate information when you register and to keep it up to date.

Keeping your account secure

You are responsible for safeguarding your password and for all activity that happens under your account. Choose a strong password, keep it private, and tell us promptly at hisab@adosystems.com if you suspect any unauthorised use. We are not liable for losses arising from your failure to keep your credentials secure.

One person, one login

Accounts are personal. Do not share a single login among several people - instead, invite each person as Staff so that actions are properly attributed and permissions can be controlled. We may refuse, suspend, or reclaim usernames, or remove accounts that are dormant, fraudulent or impersonate others.

The Hisab service

Hisab gives a Business tools to run day-to-day operations, which may include a point-of-sale till, inventory and stock control, customer and supplier records, invoicing and receipts, expenses and cash books, double-entry accounting and reports, import and landed-cost tracking, an online storefront and order management, and staff management with roles and permissions.

We are continually improving the Service. We may add, change, or remove features, and we may set or adjust technical limits (such as storage, number of staff, or rate limits). Where a change materially reduces a core feature of a paid Plan, we will give reasonable notice.

Hisab is a tool, not your accountant. The Service helps you keep records and see your numbers, but it does not provide accounting, tax, legal or financial advice. You remain responsible for the accuracy of your records and for meeting your own tax and regulatory obligations.

Plans, pricing & payment

Free and paid plans

The Starter plan is free to use within its stated limits. Paid plans (such as Growth) unlock additional features and higher limits. The features and prices of each Plan are shown on our pricing page and may change from time to time; the price that applies to you is the one in effect when your subscription renews.

Billing

Paid Plans are billed in advance on a recurring basis (monthly or annually, as you choose) in Ethiopian Birr (ETB), unless stated otherwise. By subscribing, you authorise us or our payment partners to charge the applicable fees for each billing period until you cancel.

Renewals, cancellation & refunds

  • Subscriptions renew automatically at the end of each period. You may cancel at any time from within the Service; cancellation takes effect at the end of the current paid period.
  • Unless required by law or expressly stated, fees already paid are non-refundable, and we do not provide partial refunds or credits for unused time.
  • If a payment fails, we may retry it and may suspend paid features until the balance is settled. Taxes, duties or bank charges, where applicable, are your responsibility.

If we offer a free trial or promotional rate, the standard price applies once the trial or promotion ends unless you cancel before then.

Your data & content

Your Business Data is yours. As between you and us, you own all the products, sales, customer records, invoices, books and files you put into Hisab. We claim no ownership over it.

You grant us a limited, non-exclusive licence to host, store, process, transmit, back up and display your Business Data only as needed to operate and support the Service for you, to keep it secure, and as otherwise described in our Privacy Policy. This licence ends when your data is deleted from our systems, except for residual copies retained for a limited time in routine backups or as the law requires.

Accuracy and backups

You are responsible for the lawfulness and accuracy of the data you enter, and for having the right to store any customer or supplier information you upload. While we keep our own backups for resilience, we encourage you to export your important records regularly using Hisab’s built-in export tools.

How we access your data

We treat your Business Data as confidential. Our staff and platform operators do not have standing access to the contents of your Business. The operator console we use to run Hisab is limited to system health, account and billing information - it does not open or read your products, sales, customers or books.

We will access the contents of a Business only when one of the following applies: (a) you or an Owner explicitly grants us access (for example, by adding our support account as a member to help with a specific issue); (b) it is strictly necessary to detect, prevent or fix a serious technical or security problem; or (c) we are legally required to do so. Where we access your data for support, we do so for the narrowest purpose and shortest time needed.

In short: running the platform and looking inside your shop are two different things. We do the first by default; we do the second only with your permission or when genuinely unavoidable.

Acceptable use

You agree to use Hisab lawfully and not to misuse the Service. In particular, you must not:

  • break any applicable law, or use Hisab to sell prohibited goods, launder money, evade tax, or defraud anyone;
  • upload content that is unlawful, infringing, deceptive, or that you have no right to store;
  • access another Business’s data, or attempt to bypass the permissions, authentication or tenant isolation of the Service;
  • probe, scan, overload, or disrupt the Service or its infrastructure, or introduce malware or harmful code;
  • copy, resell, sublicense, white-label or operate the Service as your own product without our written agreement;
  • reverse-engineer, decompile or attempt to extract our source code, except to the limited extent the law expressly permits;
  • use bots or automated means to scrape the Service, or use it to send spam or unlawful messages to your customers.

You are responsible for your staff’s and customers’ use of the Service through your Business, and for the messages, receipts and invoices you send using it.

Staff, roles & permissions

An Owner may invite staff into a Business and assign each a role with specific create, read, update and delete permissions. The Owner is responsible for choosing appropriate access levels, for removing access when someone leaves, and for the actions staff take within the Business.

Permissions are a control you set; they do not transfer legal responsibility to us. We provide the tools, but who can do what inside your Business is your decision.

Storefront & custom domains

If you publish an online storefront or accept orders through Hisab, you are the seller of record for those goods or services. You are responsible for your listings, prices, stock accuracy, fulfilment, returns, customer service and any consumer-law obligations to your buyers.

If you connect a custom domain, you must own or be authorised to use it, and you must keep its registration and DNS valid. We may provision security certificates and route traffic for connected domains in order to serve your storefront, invoices and shared reports. You are responsible for the lawfulness of what you publish under your domain.

Third-party services

Hisab relies on third parties - such as hosting, infrastructure, email delivery and payment providers - to deliver the Service, and may offer optional integrations. Your use of an integration may be subject to that third party’s terms, and we are not responsible for third-party products we do not control. Where a payment provider processes a transaction, that provider’s terms and fees apply to it.

Intellectual property

The Service itself - including Hisab’s software, design, user interface, the “Hisab” name and logo, and all related intellectual property - belongs to Ado Systems and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business while your account is in good standing. Nothing here transfers any of our intellectual property to you.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them to improve the Service, without obligation to you.

Availability, offline mode & support

We aim to keep Hisab available and fast, and parts of the Service are designed to keep working offline and sync when you reconnect. Even so, we provide the Service on a reasonable-efforts basis and do not guarantee that it will be uninterrupted, error-free, or available at any particular time. We may carry out maintenance, and may occasionally need to take the Service down at short notice to protect it.

We provide support primarily by email at hisab@adosystems.com. We try to respond promptly, but we don’t guarantee a specific response time unless agreed separately in writing.

Suspension & termination

You may stop using Hisab and close your account at any time. When you do, paid features end at the close of your current paid period.

We may suspend or terminate your access, in whole or in part, if you materially breach these Terms, fail to pay fees due, use the Service in a way that risks harm to others or to the Service, or where we are required to by law. Where it is reasonable and lawful to do so, we will give you notice and an opportunity to put things right first.

What happens to your data

After termination, you will normally have a limited window to export your Business Data before it is deleted from our active systems. We may retain limited information where the law requires or to resolve disputes, and residual copies may persist briefly in backups before being overwritten. Sections of these Terms that by their nature should survive - such as data ownership, disclaimers, liability limits, and governing law - continue to apply after termination.

Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Service will meet every requirement of your business, that calculations, reports or tax figures it produces are correct for your circumstances, or that any defects will be corrected. You are responsible for reviewing your own records and for any decisions you make based on them.

Limitation of liability

To the maximum extent permitted by law, Ado Systems and its people and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill, data, or business, arising out of or related to your use of (or inability to use) the Service - even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service in any twelve-month period will not exceed the greater of (a) the total fees you actually paid us for the Service in that period, or (b) ETB 5,000. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Indemnification

You agree to indemnify and hold harmless Ado Systems and its people from any claims, damages, losses and reasonable expenses (including legal fees) arising out of your Business Data, your use of the Service, your sale of goods or services to your customers, or your breach of these Terms or of any law or third-party right.

Governing law & disputes

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia, without regard to conflict-of-laws rules. We both agree to first try in good faith to resolve any dispute informally by contacting each other. If we cannot, the competent courts of Addis Ababa will have jurisdiction, except that either party may seek urgent injunctive relief where necessary to protect its rights.

Changes to the Terms

We may update these Terms from time to time - for example, to reflect new features, legal requirements or changes in how we operate. When we make a material change, we will update the “Last updated” date above and, where appropriate, notify you within the Service or by email. Changes take effect when posted unless we say otherwise. Your continued use of the Service after a change means you accept the updated Terms; if you do not agree, you should stop using the Service.

General terms

  • Entire agreement. These Terms and the documents they reference are the whole agreement between us about the Service and replace any earlier agreements on that subject.
  • No waiver. If we don’t enforce a right immediately, that isn’t a waiver of it.
  • Severability. If any provision is held unenforceable, the rest stays in force, and the provision is applied as closely as possible to its intent.
  • Assignment. You may not transfer your rights under these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
